Newly forming Corporations: 1. A nominee from CHQ Incorporated will endorse the "Initial List of Officers" for filing with the Secretary of State of Nevada. The State will publish the officers names on the internet open to public view. 2. After filing, the nominee officer will resign those positions back to the originator of the Corporation. The originator is then to hold an election of new officers which will be noted in the Corporation minutes book only. Recurring annual filings: 1. The Corporation will be instructed to hold a stockholders meeting whereby its officers will resign, appointing the positions to a nominee at CHQ Incorporated. 2. The new nominee officer will endorse the "annual list of officers" for filing with the Secretary of State of Nevada. The State will publish the officers names on the internet open to public view. 3. After filing, the nominee officer will again resign those positions back to the originator of the Corporation. The originator is then to hold an election of new officers which will be noted in the Corporation minutes book only. IMPORTANT BANKING NOTES: If CHQ is your resident agent and opens a bank account for your Corporation in Nevada, the signor(s) on the account must also be signors on the "Initial List of Officers" or the "Annual List of Officers", and that list must be filed with the Secretary of State. Once the account is open, you may immediately submit an amendment (additional fee will apply), with the state renaming the nominee to the officer positions. This will remove your officers and replace them with the nominee within a matter of a few days. Be aware however, that the name(s) you place on that filed list although not visible on the internet, will be a matter of public record indefinitely for those who wish to request and pay for that information from the state's archives. If you are opening your own account in a different state, and if requested by your bank, the nominee officer will endorse the banks resolution authorizing the opening of an account for your Corporation. The nominee officer will not sign on the signature card for the bank and will not sign any other corporate document included but not limited to, any state, federal or local tax return.
